Welcome to YouTube Notes ("the App"), operated by YouTube Notes ("we," "our," or "us"). By accessing or using the App, located at https://youtubenotes.io, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Description of Service

YouTube Notes provides a web application that allows users to sign in, generate structured notes and reports from YouTube content, and purchase credits to run those reports. Access to certain features requires an active account and available credits.

3. Account Registration

You may create an account using Google, Microsoft, or a standard email and password.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to provide accurate and current information during registration and to update it as necessary.
We reserve the right to suspend or terminate any account that violates these Terms or applicable law.

4. Use of the Service

You agree to use the App only for lawful purposes and in compliance with these Terms.

You must not:

Access or interfere with the App's code, data, or servers except through authorized methods
Misuse the App to violate YouTube's or any other platform's Terms of Service
Post or generate content that is illegal, harmful, defamatory, or infringes on others' rights

We may suspend or restrict access if we believe your use violates these rules.

5. Credits and Payments

The App uses a credit-based system. Credits are required to generate reports.
Payments are securely processed through Stripe. We do not store or directly handle your payment details.
All purchases are final. Credits are non-refundable except where required by law.
If a payment dispute or chargeback occurs, your account may be suspended until the issue is resolved.

6. Intellectual Property

All content, design, software, and materials within the App are owned by YouTube Notes or its licensors.

You retain ownership of any notes or reports you create but grant us a non-exclusive, limited license to store, process, and display that content as necessary to operate the service.

7. Third-Party Services

YouTube Notes integrates with the following third-party services:

Google and Microsoft for authentication
Stripe for payment processing
Supabase for data storage and hosting

8. Limitation of Liability

To the fullest extent permitted by law, YouTube Notes and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use the App.

9. Disclaimer of Warranties

The App is provided "as is" and "as available" without any warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

We may suspend or terminate your account at any time, without notice, if we believe you have violated these Terms or engaged in fraudulent activity.

11. Changes to These Terms

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes will be resolved in the courts of Harris County, Texas.

14. Creator Affiliate Program

YouTube Notes offers a Creator Affiliate Program that allows eligible users to earn commissions by referring new users to the App.

Eligibility

To participate in the Creator Affiliate Program, you must have an active YouTube Notes account in good standing. We reserve the right to approve or reject any application to the program at our sole discretion.

Commission Structure

Creators earn a 20% commission on all purchases made by users who sign up through their unique referral link.
Commissions are calculated based on the purchase amount after any discounts or promotions.
Commissions are only earned on completed purchases. Refunded or disputed purchases do not qualify for commissions.

Payouts

Commissions are paid out 30 days after the purchase date. This waiting period allows time for any refunds or chargebacks to be processed.
Payouts are processed through Stripe Connect. You must complete Stripe Connect onboarding to receive payments.
You are responsible for any taxes or fees associated with your commission earnings.
We reserve the right to withhold or adjust payouts if we suspect fraudulent activity or violation of these Terms.

Referral Rules

You may only share your referral link through legitimate channels. Spam, unsolicited messages, or deceptive practices are prohibited.
You may not create multiple accounts or use automated systems to generate referrals.
You may not offer incentives, discounts, or cash-back schemes that are not authorized by YouTube Notes.
Referrals must be genuine users who sign up through your link. Self-referrals or fraudulent signups will result in immediate termination from the program.

Program Termination

We reserve the right to terminate your participation in the Creator Affiliate Program at any time, with or without cause. Upon termination, you will forfeit any unpaid commissions. We may also terminate the program entirely with 30 days' notice.

Program Modifications

We reserve the right to modify the commission structure, payout schedule, or program terms at any time. Material changes will be communicated to active affiliates with reasonable notice.
